Getting started

Why can't I see the businesses on this website?

Because publishing them would be illegal for the company raising money. A private placement under Section 42 must be made to identified people by name and must not be advertised to the public. If we published deal terms openly, the raise could be treated as a deemed public issue, exposing that business to serious regulatory consequences. Gating opportunities protects them, and it protects you.

What is the minimum I can invest?

It depends on the pathway. Private placement minimums are set deal by deal by the company issuing the securities, not by us. Angel Fund commitments will be set in the fund documents once it is registered. Social finance starts at ₹1,000. There is no single platform-wide minimum, and any site quoting one is oversimplifying.

Do I have to live in the city I invest in?

No. But the argument for this platform is strongest when you do. If you have no connection to a city and no information advantage in it, you are simply making an illiquid unlisted investment at a distance — which is a harder thing to do well, and you should size it accordingly.

Money and returns

What return can I expect?

We will not answer that, and you should be wary of any platform that does. These are equity and equity-like investments in unlisted businesses. They can multiply and they can go to zero. Any figure we quoted would be a guess dressed up as a promise, and quoting one would breach the rules we operate under.

Does InvestMyCity ever hold my money?

No. Funds move from your bank account to the issuing company's designated account. We operate no wallet, no escrow and no pooled account. If a registered fund is launched later, subscriptions would go to that fund's own regulated account — never to the company that runs this platform.

How do you make money?

At the syndicate stage, from the business raising capital: a fee for readiness work, and a success fee on capital actually raised. Both are agreed with the business upfront and disclosed to investors before they commit. We do not take a share of investor returns, because doing so without a licence would make us an unregistered fund manager.

When would I get my money back?

There is no fixed timeline, and that is the nature of the asset rather than a gap in our planning. An exit happens when the business is sold, when another investor buys your stake, when the company buys it back, or if it eventually lists. Any of these may take years, and none is guaranteed to happen at all. Treat the commitment as illiquid and indefinite.

Regulation

Is this peer-to-peer lending?

No. P2P lending in India may only be carried out by an NBFC-P2P holding a certificate of registration from the Reserve Bank of India. We do not hold that registration, we do not arrange loans between individuals, and nothing offered here is a loan product.

Is this a mutual fund or a chit fund?

Neither. A mutual fund is a SEBI-registered pooled vehicle managed by an asset management company. A chit fund is a different regulated arrangement altogether. What happens here at present is that individual investors subscribe directly to securities of a specific company — no pooling, no common fund, no rotation.

Is the Angel Fund available now?

No. It is in preparation and is not registered with SEBI. Nothing relating to it is being offered, marketed or subscribed. You can register interest so we can contact you if and when it is registered, and that carries no obligation whatsoever.

Why is the Angel Fund limited to Accredited Investors?

Because SEBI's revised framework requires it. Angel Fund participation is restricted to Accredited Investors as defined under the Alternative Investment Funds Regulations. We cannot waive this and would not try to. If you are close to the thresholds, accreditation is a documented process and we can explain how it works.

Do you give investment advice?

No. We are not a SEBI-registered Investment Adviser and nothing here is a personal recommendation. We prepare information and facilitate introductions. Whether an investment suits your circumstances is your judgement, and you should take independent professional advice before committing.

For businesses

What does it cost a business to apply?

Nothing to apply and nothing to be assessed. If we take on readiness work — cleaning financials, structuring, documentation — that is quoted and agreed in writing before any work begins. A success fee on a completed raise is agreed upfront and disclosed to investors.

My business is a proprietorship. Can I raise money?

Not through a private placement, which requires a company that can issue securities. You may need to convert to a private limited company first. That is a real decision with tax and compliance consequences, and it is not always worth doing — we will tell you honestly whether it is, in your case.

My filings are behind. Should I still apply?

Yes, and please say so on the form. Gaps are common and usually fixable. What is not fixable is discovering them midway through a raise, after investors have started their diligence. Deals collapse over concealment far more often than over the underlying problem.

About the platform

The site used to show investor numbers and payouts. What happened?

They were placeholder figures used during development and they should never have been publicly visible. They were not real. We removed them and rebuilt the site on the principle that if a number is not real and verifiable, it does not appear at all. That is why you will not find statistics on this website.

Why only one city?

Because a map of India with pins in every metro would be a claim we cannot support. We would rather show one city we genuinely work in than twenty we do not. Cities are added when they clear our activation criteria, not when it would look impressive.

What happens to my personal information?

It is used to assess your application or registration and to contact you. Investor information is shared with a business only where you decide to proceed with that specific opportunity. We do not sell data. See our privacy policy for the full position.
