Private Placement Workbench
Track the 200-subscriber count, compute every statutory deadline, and generate PAS-4 offer letters and the PAS-5 record. This is the first module of the platform, and it works today.
Everything stays on this device. Your data is saved in this browser only. Nothing is uploaded, nothing reaches us, and there is no account. Use Export to back it up or move it to another machine — if you clear your browser data without exporting, it is gone.
The issuing company
Used across every document generated below.
Rule 14(5): subscription money must be paid from the subscriber's own bank account into a separate account of the company. Never a promoter's account, never cash.
The offer
One offer, one class of security, one financial year.
The 200 limit applies per class, so keep separate classes in separate workbenches.
Rule 14(3): the offer letter must go out within 30 days of this date.
Starts the 60-day allotment clock under Section 42(6).
Offerees
Every person the offer is made to, named. This is the list the 200 limit counts — offers made, not acceptances received.
Subscriber count
Ask the company. Placements they did through someone else still count, and this is the number people forget.
Statutory deadlines
Computed from the dates on the Offer tab. Section 42 and Rule 14 of the Companies (Prospectus and Allotment of Securities) Rules, 2014.
Documents
Drafts in the prescribed structure, generated from what you entered. They download as .doc files so you can finish them in Word.
These are drafts, not filings
- Sections the tool cannot know — financial position, litigation, regulator orders, risk factors — are marked [TO COMPLETE] in the output.
- A qualified professional must review and complete every document before it is issued.
- Serial numbering is applied automatically, but you remain responsible for the record.
- This tool does not file anything with the MCA and is not connected to it.
Your data
Export before clearing your browser data, and to move a matter between machines.
Why this is free. It is the first module of the platform we are building, and we would rather you used it and told us what is wrong with it than read a description of it on a marketing page. If it is useful, tell us what to build next.
